1. General

VIDEY, INC. with company registration number: 5255293 in the state of Delaware, governed by the laws from United States. (herein after referred to as “VIDEY”) has established these Terms of Use, Provisions, and Conditions (which also incorporate by reference, without limitation, Our Privacy Policy, Subpoena Compliance Policy, and DMCA Notice & Takedown Policy) (hereinafter referred to collectively as “Terms of Use or “TOU””) to govern Your use of this Site and all affiliated sites, including but not limited to the Sites created by VIDEY to its Creators of Content (Publisher) with their own domains or a sub domains of VIDEY, and every mobile version or APP hereof or thereof (collectively, “Site,” this “Site,” “the Site,” or the “Service”) whether or not You are a registered Subscriber of this Site. VIDEY reserves the right, at its sole discretion, to change, modify, add, or delete portions of these TOU, and to notify You of such changes by modifying the “Last Revised” date at the top of this TOU. You acknowledge that it is Your responsibility to review the “Last Revised” date to determine if any changes have been made since Your last review of this TOU. By accessing and continuing to use the Site after the change to this TOU, You thereby manifest Your agreement to any changes hereto. If You do not agree with such changes, You must notify us by cancelling Your subscription, and exiting the Site and its Platform in general.

Entering this Site, You acknowledge that (a) You have read and understand these TOU and that You agree to be bound by the TOU as same may be amended from time to time; (b) You shall comply with all applicable laws and regulations; and (c) the disclaimer, limitation of liability, and indemnification provisions set forth in the TOU are an agreed upon allocation of risk and form an essential part of our agreement to permit You to use this Site, without which agreement VIDEY would not enter into this Agreement or permit You to use this Site. If You do not agree to be bound by the TOU, You are directed to terminate and discontinue Your use of this Site immediately. VIDEY DOES NOT PERFORM CRIMINAL BACKGROUND OR SEX OFFENDER CHECKS ON ANY SUBSCRIBER OR PROSPECTIVE SUBSCRIBER, PUBLISHER, OR THIRD PARTY. You are encouraged to use common sense when interacting with any individual located through this Site. VIDEY is not responsible for activities, claims, or losses that result from meeting individuals identified through the Site.

“Publishers” have registered with VIDEY and have been granted authority to use the Service to publish photographs, videos and live streams and to use other services and features associated with a Publisher account. Publishers are required to separately register, and provide specific information required by VIDEY. VIDEY reserves the right to require agreement to additional terms and provisions by Publishers before acceptance. Publishers are not agents or employees of VIDEY and VIDEY has absolutely no relationship with said Publishers other providing a platform for them to self-publish and collect subscription fees. A Subscriber’s correspondence and/or dealings (business or otherwise) with the Publishers found on or through this Site are solely between the Subscriber and such Publisher. VIDEY shall not be responsible or liable for loss or damage of any sort whatsoever incurred by You or any third party as the result of such dealings or as the result of the advertisements place on the Site.

You may not copy, reproduce, republish, transmit, disseminate, reverse engineer, reverse assemble, sell, or distribute in any way any material from this Site, including, without limitation, photographs, video, code, and software. You may in certain instances be permitted to upload information, photographs, and/or video to this Site subject to the express conditions hereof.

2. Void Where Prohibited

Portions of this Site are fee or subscription based. Subscription in the Service and use of this Site is void where prohibited.

3. Information Related to Minors

VIDEY will not allow the publishing, of any information relating to individuals under the age of eighteen (18) or twenty-one (21) years in the applicable territories. VIDEY will not knowingly collect information, personal or otherwise, from individuals under the age of eighteen (18) or twenty-one (21) where applicable. By using this Site, You certify, that You are over the age of eighteen (18) years or twenty-one (21) where applicable. The United States and various foreign, federal, state, and local jurisdictions impose significant penalties upon individuals and entities who contribute to the proliferation or use of pornography related to minors. If You seek underage material, please exit the site immediately. Any content that depicts, involves, or is directed at a minor is Prohibited Content under Section 9 and will be removed and reported to the appropriate authorities. YOU ARE HEREBY NOTIFIED THAT, TO THE EXTENT REQUIRED BY APPLICABLE LAW, VIDEY WILL COOPERATE IN THE INVESTIGATION OF ANY UNLAWFUL USE OF THE SITE OR ITS SERVICES. 4. Registration Data; Account Security

In consideration of Your use of this Site, You agree to (a) provide accurate, current and complete information about You as may be prompted by any registration forms on the Site (“Registration Information”); (b) maintain the security of Your password and account credentials; (c) maintain and promptly update the Registration Information, and any other information You provide to VIDEY, to keep it accurate, current, and complete; and (d) be fully responsible for all use of Your account and for any actions that take place using Your account. Account credentials may not be used by more than one Subscriber. In the event a Subscriber is found to have shared account credentials with another person, the Subscriber’s account may be terminated for breach of this Agreement. VIDEY reserves the right to suspend or terminate Your access to this Site at any time for any violation of these TOU at its own decision.

5. Payment Methods

Payment for the services and products, if any, purchased on this Site may be made by credit card or any payment set forth on our payment page. Billing may be performed by a third-party payment processor. For credit card payments, You may be required to provide us with the exact billing address and telephone number that Your credit card issuer has on file for You. You may further be required to provide us with the security code on Your credit card. You authorize us and our agents to transact payments on Your behalf. In the event of recurring payments, You have authorized us to automatically renew Your fee payments on a continuing basis and to charge Your credit card (or other payment means) on an ongoing basis unless and until You notify us that You wish to cancel such recurring payments. Incorrect information may cause a delay in processing, or denial of, Your order. We reserve the right to suspend Service to You in the event You have provided inaccurate or incomplete credit card information, or if Your payment information is out of date.

6. Refund Policy

We do not offer refunds. If you are unhappy with the content you have subscribed to, please inform the content creator. If there is a technical error on the site, we will work with you to resolve it.

7. Correction of Errors and Inaccuracies

The information on this Site may contain typographical errors or inaccuracies and may not be complete or current. VIDEY reserves the right to correct any errors, inaccuracies, or omissions and to change or update information at any time. Unless intended by the context of the display, the incidental display of products in this Site shall not constitute an endorsement by Videy of such products.

8. Manner of Conduct

You understand that except for the specific subscription programs offered by VIDEY on this Site, this Site is available for Your personal, non-commercial, and educational use only. You may not mirror any materials contained on this Site without prior written permission of VIDEY. You may not use any robot, spider, or other automatic device or manual process to screen scrape, monitor, mine, or copy any of the web pages of this Site, any advertisements, any profiles, or any content hereon. Because the harm caused by violations of this section are not easily measured, You agree to pay a liquidated damages fee of $30.000 if You violate this term. The parties agree that this liquidated damages provision is not a penalty, but is instead an attempt to reasonably anticipate the amount of actual damages that might be sustained by VIDEY in the event of a breach of this provision.

You represent, warrant, covenant, and agree that no materials of any kind submitted through Your account or otherwise posted, transmitted, or shared by You on this Site will violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights; or contain libelous, defamatory, or otherwise unlawful material. You shall not use or distribute pirated or unauthorized User Content, photographs, products or information.

9. Prohibited Content; Zero Tolerance Policy

VIDEY maintains a zero tolerance policy toward illegal and abusive content. Without limiting any other provision of these TOU, You and every Publisher agree not to upload, publish, stream, post, transmit, link to, advertise, promote, sell, solicit, or otherwise make available through the Site or the Service any content (including photographs, videos, live streams, audio, text, messages, titles, descriptions, tags, thumbnails, and profile information) that is unlawful or that depicts, contains, promotes, or facilitates any of the following (collectively, “Prohibited Content”):

(a) Minors. Any content that depicts, features, involves, or is directed at any person under the age of eighteen (18), or twenty-one (21) or the age of majority where applicable, whether sexual or not. This includes content that sexualizes minors in any way, and content that appears to depict a minor or presents any participant as being, or pretending to be, underage (including through costumes, settings, titles, tags, or dialogue), as well as drawings, animations, computer-generated, or AI-generated content depicting minors. Every person depicted in any content must be a verified adult.

(b) Non-consensual activities. Any content depicting, promoting, or facilitating sexual or intimate acts without the freely given, informed, and ongoing consent of every person involved, including rape, forced or coerced acts, and acts involving persons who are incapacitated or unable to consent; content recorded, photographed, or distributed without the knowledge or consent of the persons depicted (including hidden-camera and voyeuristic content); non-consensual intimate imagery (so-called “revenge porn”); sexually explicit deepfakes or other manipulated or AI-generated content depicting real persons without their consent; and content that is presented as, or that a reasonable viewer would believe to be, non-consensual.

(c) Incest. Any content depicting, simulating, or promoting sexual activity between family members, whether actual or purported, including biological, adoptive, step, or foster relatives, and any content that presents the participants as family members for sexual purposes.

(d) Bestiality. Any content depicting, simulating, or promoting sexual activity involving animals, as well as any content depicting animal cruelty or harm.

(e) Sexual violence and violence. Any content depicting, glorifying, or promoting sexual violence, sexual assault, sexual torture, or sexual exploitation; human trafficking, forced prostitution, or forced labor; necrophilia; and any content depicting real violence, serious bodily harm, mutilation, torture, or death, or that incites violence against any person or group.

(f) Intoxication. Any content depicting any person who is intoxicated, drugged, unconscious, or otherwise impaired by alcohol, drugs, medication, or any other substance to a degree that affects their ability to give consent; content depicting or promoting the administration of any substance to a person without their knowledge or consent; and any content that promotes, sells, or facilitates the manufacture, sale, or distribution of illegal drugs or controlled substances.

(g) Other illegal and harmful content. Any other content that is illegal under the laws applicable where it is produced, hosted, or accessed, or that promotes terrorism, hate crimes, self-harm or suicide, or unlawful discrimination; content that discloses private personal information of another person without consent (“doxxing”); and content that infringes the intellectual property, privacy, or publicity rights of any third party.

Consent and age verification. Publishers represent, warrant, and agree that (i) every person depicted in any content has been verified to be of legal age by means of a valid government-issued photo identification; (ii) every person depicted has given informed, voluntary, written consent to the recording of the content and to its distribution through the Site; and (iii) the Publisher maintains, and will provide to VIDEY or to the competent authorities upon request, all identification and consent records required by applicable law, including, where applicable, 18 U.S.C. § 2257 and its regulations. Any person depicted in content may withdraw consent and request removal of that content through the Site’s Consent Center or customer service, and VIDEY will act on such requests promptly.

Enforcement. VIDEY may, at its sole discretion and without prior notice, remove or disable access to any content it believes in good faith to be Prohibited Content, suspend or permanently terminate any account, withhold or forfeit payouts related to violating content to the extent permitted by applicable law, and refuse service to any person. Termination for a violation of this Section will not entitle You to any refund. Content is reviewed and monitored in accordance with Section 10, but neither the approval of content nor a decision not to remove it constitutes a warranty that the content is lawful or a waiver of this Section. Any Publisher or user who violates this Section shall be solely responsible for the content and shall indemnify VIDEY in accordance with Section 12.

Reporting and cooperation with authorities. Anyone who believes that content on the Site violates this Section should report it immediately through the Site’s reporting tools or customer service. VIDEY will report apparent child sexual abuse material to the National Center for Missing & Exploited Children (NCMEC) and to other competent authorities as required by law, and will cooperate with law enforcement investigations and valid legal process. VIDEY may preserve and disclose content and account information for these purposes.

10. Content Moderation Policy; Pre-Screening and Monitoring

Pre-screening. All content submitted for publication on the Site or through the Service, including photographs, videos, audio, text, titles, descriptions, tags, thumbnails, and profile information, is reviewed by VIDEY prior to publication. No content is made available to the public until it has been reviewed and approved. Review is carried out through a combination of automated tools and trained human moderators, and content that does not satisfy the standards described in this Section is rejected or removed.

Ongoing monitoring. After publication, all content and Publisher accounts are regularly monitored and periodically re-reviewed to ensure continued compliance with (i) Section 9 of these TOU; (ii) all applicable laws and regulations; and (iii) the rules, standards, and requirements of the payment card brands (including Visa and Mastercard), acquiring banks, and payment processors, as amended from time to time (collectively, the “Card Brand Rules”). Content may also be reviewed at any time following a report by a user, a person depicted, a third party, an authority, or a payment partner.

Live streaming controls. Because the Service permits live streaming, VIDEY maintains controls that allow it to fully control and monitor live content. Only Publishers who have completed the registration and identity and age verification requirements may broadcast. Live streams, including any associated chat or interactive features, may be monitored in real time and may be recorded and retained for review, compliance, and investigation purposes. VIDEY may, at any time, at its sole discretion and without prior notice, interrupt, suspend, or terminate any live stream; disable chat or other features; remove any content; and suspend or terminate the Publisher’s account and ability to broadcast, in each case where VIDEY believes in good faith that the content or conduct is illegal, constitutes Prohibited Content, or violates the Card Brand Rules or these TOU.

Removal and shutdown. VIDEY reserves the right and maintains the technical ability to promptly remove, disable, or block access to any content and to shut down any content sharing, including live streams, that is illegal or that violates the Card Brand Rules, Section 9, or any other provision of these TOU. VIDEY may also preserve such content and related account information and disclose them to the competent authorities, payment partners, or card brands as permitted or required by law and by the Card Brand Rules.

Publisher obligations. Publishers agree to (i) submit content only through the Site’s review process and not to attempt to circumvent, disable, or evade any review, filter, or monitoring measure; (ii) provide, upon request, any information, identification records, and consent records VIDEY needs to complete a review; (iii) not re-submit content that has been rejected or removed; and (iv) comply promptly with any removal or corrective instruction. Repeated or serious violations will result in permanent termination of the Publisher’s account and may be reported to the competent authorities.

Reports and removal requests. Any person may report content that they believe violates these TOU, applicable law, or the Card Brand Rules, and any person depicted in content may request its removal, through the Site’s reporting tools, Consent Center, or customer service. VIDEY will review each report and removal request promptly and take appropriate action, which may include the immediate removal of the content pending review.

Regular review of this policy. VIDEY periodically reviews and updates its moderation procedures and tools to reflect changes in applicable law and in the Card Brand Rules. Content approval does not constitute VIDEY’s endorsement of, or warranty regarding, any content, and Publishers remain solely responsible for the content they submit.

11. Governing Law; Severability; Entire Agreement; Statute of Limitations:

THESE TERMS OF USE, PROVISIONS AND CONDITIONS AND YOUR AGREEMENT WITH VIDEY SHALL BE GOVERNED BY THE LAWS OF THE STATE OF DELAWARE, WITHOUT REGARD TO ITS CONFLICTS OF LAWS PROVISIONS. YOU AGREE TO BE SUBJECT TO SUCH LAWS AND THAT VENUE IN ANY ACTION OR PROCEEDING COMMENCED PURSUANT TO THIS AGREEMENT SHALL LIE IN DELAWARE, AND YOU IRREVOCABLY CONSENT TO THE EXCLUSIVE JURISDICTION OF THE FEDERAL AND STATE COURTS SITTING IN SUCH VENUE. YOU HEREBY CONSENT TO THE PERSONAL JURISDICTION OF THE FEDERAL AND STATE COURTS SITTING IN DELAWARE.

If any provision or portion thereof set forth in these TOU is found to be unlawful, void, or for any other reason unenforceable, then such provision or portion thereof shall be deemed severable and shall not affect the validity and enforceability of any other provision. Such severable provision shall be construed as nearly as possible to reflect the intention of these terms of use, provisions, or conditions.

This Agreement and any policies or documents incorporated into the Agreement by specific reference serves as the entire agreement between the parties and may be amended upon notice by VIDEY. VIDEY may provide notice by E- mail, conventional mail, or by a general posting (indicated by the word “Notice”) on its web page, but is not obligated to do so.

To the extent permitted by applicable law, You agree that, by using this Site, regardless of any statute or law to the contrary, any claim or cause of action that You may have arising out of, in connection with, or relating to, Your use of this Site and/or these TOU must be filed within one (1) year after the claim or cause of action accrued or such claim or cause of action shall forever be barred.

12. Indemnity:

You shall indemnify, defend, and hold harmless VIDEY and its affiliates and their respective shareholders, directors, attorneys, members, managers, officers, employees and agents and their respective successors and/or assigns from and against any and all losses, liabilities, claims, suits, damages, judgments, fines, penalties, violations, actions, causes of action, proceedings, demands, costs, and expenses (including, without limitation, reasonable attorney’s fees, court costs, and disbursements) (collectively, “Claims”), arising out of, resulting from, or in connection with, Your use of this Site and/or any third party Sites and/or Your use of the products or services, if any, obtained through Your use of the Site. In any claim subject to indemnification hereunder, VIDEY shall control the defense (including settlement of claims). VIDEY shall be permitted to retain legal counsel of its choice in any claim subject to indemnification.

13. Ownership & Trademarks:

The name “VIDEY INC” and related names and marks are service marks owned by and may not be used in connection with any third-party marks, names, products, services, or otherwise. VIDEY is a registered trademark of VIDEY INC. All other marks and names (including third-party product marks and names) are the property of their respective owners.

14. Copyrights; Use of Content:

All software used to operate or display this Site is the property of VIDEY or is licensed to VIDEY, and is protected by United States and international copyright laws. The compilation, collection, selection, arrangement, assembly, and coordination of all the text, graphics, photographs, graphs, sounds, data, images, audio, and video clips available on this site except for Publisher Content is the exclusive property of VIDEY and protected by United States and international copyright laws.

15. Links and Linking:

Some websites which are linked to the Site are owned and operated by third parties. Because We have no control over such websites and resources, You acknowledge and agree that We are not responsible or liable for the availability of such external websites or resources, and do not screen or endorse them, and are not responsible or liable for any content, advertising, services, products, or other materials on or available from such websites or resources.

You further acknowledge and agree that We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such third-party content, goods or services available on or through any such website or resource. If You decide to access any such third-party website, You do so entirely at Your own risk and subject to any terms and conditions and privacy policies posted therein. You further acknowledge that use of any website controlled, owned or operated by third parties is governed by the terms and conditions of use for those websites, and not by this Agreement.

Links to external websites (including external websites that are framed by the Site) or inclusions of advertisements do not constitute an endorsement by Us of such websites or the content, products, advertising, or other materials presented on such Site, but are for Your convenience.

You hereby agree to hold Us harmless from any and all damages and liability that may result from the use of links that may appear on the Site or via the Services. We reserve the right to terminate any link or linking program at any time.

This Site and its contents, and the links to third-party sites and their contents, are provided on a strictly “as-is” and “as-available” basis and without warranties or representations of any kind, express or implied.

To the maximum extent permitted by law, VIDEY specifically disclaims all representations and warranties, express, implied, or otherwise, including, without limitation, implied warranties of merchantability or fitness for a particular purpose and non-infringement, and implied warranties from course of dealing or performance and any warranties as to results that may be obtained through use of this Site or third-party sites. No information or advice obtained from VIDEY, whether written or oral, shall create any warranty from VIDEY.

VIDEY expects users to take responsibility for their own actions and, accordingly, VIDEY does not assume any liability whatsoever for the acts of third parties or those publishing on the Site and assumes no liability whatsoever for any replies or any actions arising out of any material published on the Site. You waive any and all claims, rights, or remedies which You otherwise might have or be able to assert against VIDEY under all applicable laws, rules, and regulations that arise out of or in any way relate to Publisher Content, Your use of the Site, and VIDEY’s response or failure to respond to any complaint You may make in connection therewith or otherwise. VIDEY does not warrant that the functions contained in the materials furnished on this Site or any third-party site will be uninterrupted, available, or error-free, that defects or errors will be corrected, or that this Site will be available, free from viruses or other harmful components. VIDEY shall not be responsible or liable for any threatening, defamatory, obscene, offensive, or illegal content or conduct of any Publisher or other party or any infringement of another’s rights, including, without limitation, intellectual property or similar rights. Your use of this Site is strictly at Your own risk, which is voluntarily assumed. VIDEY shall not be responsible for any direct, indirect, consequential, special, punitive, or other damages (whether liability is asserted in contract, tort, or otherwise), costs or expenses, including, without limitation, lost profits, data, loss of goodwill, loss of or damage to property, or claims of third parties, arising out of, in connection with, or relating to Your use of this Site or any third party site VIDEY shall not be responsible for any threatening, defamatory, obscene, offensive, or illegal content or conduct of any other party or any infringement of another’s rights, including, without limitation, intellectual property or similar rights.

Should You be dissatisfied with the Site or the content hereof or a third-party site and the content thereof, Your sole and exclusive remedy is to discontinue use of this Site or such third-party site. To the extent permitted by applicable law, the foregoing remedy shall apply even if VIDEY knew or should have known of the possibility of damages to You by use of the Site or a third-party site.

17. Force Majeure:

We are not responsible for any failure to perform because of unforeseen circumstances of causes beyond our reasonable control, including:

Acts of God, such as fire, flood, earthquakes, hurricanes, tropical storms, or other natural disasters; War, riot, arson, embargoes, acts of civil or military authority, or terrorism; Fiber cuts; Strikes, or shortages in transportation, facilities, fuel, energy, labor, or materials; Failure of the telecommunications or information services infrastructure; and Hacking, SPAM, or any failure of a computer, server, network, or software for so long as the event continues to delay our performance.

18. Biometric Data

We MAY USE a 3rd-Party system to verify model IDs. Their system records a photo of a model's ID, and takes a live photo of them. The system uses a facemap to ensure the user in the ID is the same as the user in the live photo. At no time does VIDEY have any access to the biometric data. The company does not sell or otherwise use this data for any purpose other than testing if the photo on the ID matches the live photo of the user. The purpose of gathering the biometric data is to protect you by creating a record that proves your age and identity. We MAY USE use the verification system in three places: registering as a model on the site, using our Consent Center to give consent, submitting a report stating you are in a video and are identifying yourself as a model in that video. By using these systems you are consenting to the company taking these photos and creating a facemap it will use. They maintain these records as long as we use them, and stores the biometric data in case we need them in the future (for example, for a civil or criminal investigation in which we need to prove you were of age). To request the facemap be deleted manually, contact customer service.

19. Section 230 Notice:

You acknowledge Your responsibility to prevent minors under Your care from accessing harmful or inappropriate material. You agree not to allow minors to view any such content, and You agree to take responsible measures to prevent them from doing so. Numerous commercial online safety filters are available which may help users limit minors’ access to harmful or inappropriate material. Pursuant to 47 U.S.C. § 230(d), You are hereby informed that You can research such services at websites such as: http://www.getwise.org or http://www.child-internet-safety.com/internet_filters.php, among others. Please note that We make no representation or warranty regarding any of the products or services referenced on such sites, and We recommend that You conduct appropriate due diligence before purchasing or installing any online filter. You agree to take steps to prevent minors from viewing Our Website or the content received via Our Services if Your computer or mobile device can be accessed by a minor. Finally, You agree that if You are a parent or guardian of a minor child, it is Your responsibility, not Ours, to keep any age-restricted content on Our Website or Services from being displayed or accessed by Your children or wards.

Pursuant to the Communications Decency Act (“CDA”), 47 U.S.C. § 230(c)(1), and court decisions interpreting the scope of the CDA, You acknowledge and understand that We operate as the provider of an interactive computer service. Thus, We are immune from, and cannot be held responsible for, claims arising from the publication of Your Content (as well as including third party content). We do not create such content, and We are not responsible for the publication of remarks or communications of third parties that may arguably rise to the level of being actionable under federal or state laws including, but not limited to, the publication of material that might be considered defamatory, or violative of privacy or publicity rights. Note, that federal law allows Us to remove any content found to be offensive, defamatory, obscene or otherwise violative of Our policies, without impacting Our status as the provider of an interactive computer service. In the event that any court finds that any third-party communication or third-party content on Our Website falls outside of the realm of the immunity provided by Section 230 of the CDA, this shall not be deemed to be a waiver of any legal protections provided by Section 230 for any and all other content posted on Our Website. Nothing contained in this Agreement is intended to limit or alter the immunity from claims provided by Section 230 of the Communications Decency Act, and no third parties are intended to benefit from this Agreement between You and Us.

20. Anti-Human Trafficking Policy; Safety and Non-Solicitation

Commitment. VIDEY prohibits human trafficking, sexual exploitation, forced labor, and any form of coercion or abuse in connection with the Site or the Service. This Section supplements Section 9(e) and applies to every Subscriber, Publisher, agency, and other person who uses the Site. VIDEY maintains the procedures described below to protect its users and to cooperate with law enforcement.

Prohibited conduct. No person may use the Site or the Service to recruit, harbor, transport, provide, obtain, advertise, or solicit any person for sexual or labor purposes through force, fraud, or coercion. No person may use the Site to offer, advertise, or arrange commercial sexual services, escort services, or in-person encounters in exchange for payment, or to exchange contact details for that purpose. Any commercial sexual activity involving a person under eighteen (18) years of age, or the age of majority where applicable, is prohibited regardless of whether force, fraud, or coercion is present.

The following conduct is also prohibited: withholding or controlling another person’s identification documents; imposing debt, threats, or intimidation to obtain content or earnings; controlling a Publisher’s account, content, or payouts against that Publisher’s will; and publishing content that was produced under coercion or that a reasonable person would believe was produced under coercion.

Preventive measures. VIDEY applies the following controls:

(a) Identity and age verification. Only Publishers who have completed identity and age verification, as described in Sections 9, 10, and 18, may publish or broadcast.

(b) Review of content. Content is reviewed before publication and monitored afterward, as described in Section 10, including live streams and associated chat features.

(c) Account control. Each Publisher account must be operated by the verified Publisher. Any agency, manager, or other third party who assists with an account must be disclosed to VIDEY, and VIDEY may require proof of the Publisher’s written authorization and verification of that third party.

(d) Payout verification. Payouts are made only to a bank account or payment account held in the name of the verified Publisher, or of a verified legal entity that the Publisher has authorized in writing. VIDEY may withhold or review payouts when the information provided is inconsistent.

(e) Indicators of trafficking. VIDEY reviews accounts and content for indicators of trafficking or coercion, including third-party control of an account, inconsistent identity or location information, signs that a person is not acting voluntarily, and attempts to arrange offline meetings or payments outside the Service.

(f) Training. Personnel responsible for moderation, verification, and compliance receive guidance on recognizing and escalating these indicators.

Reporting. Anyone who suspects trafficking, exploitation, or coercion in connection with the Site should report it immediately through the Site’s reporting tools, the Consent Center, or customer service at https://videy.net/help. Any person who is depicted in content, or who is under the control of another person, may request removal of the content and assistance through the same channels. In an emergency, contact local emergency services immediately. In the United States, suspected trafficking may also be reported to the National Human Trafficking Hotline at 1-888-373-7888 or by text to 233733, and suspected child sexual exploitation to the NCMEC CyberTipline at http://www.missingkids.com/cybertipline.

Escalation and law enforcement protocol. When VIDEY identifies or receives a report of suspected trafficking, exploitation, or coercion, VIDEY will:

(i) immediately restrict the relevant content, live stream, account, and payouts pending review;

(ii) escalate the matter to its compliance personnel for prompt review, and in urgent cases without delay;

(iii) preserve the relevant content, account records, communications, access logs, and payment information;

(iv) report the matter to the competent authorities, including law enforcement agencies in the applicable jurisdiction and, where minors are involved, NCMEC, as required by law or when VIDEY believes in good faith that a report is warranted;

(v) cooperate with law enforcement investigations and respond to valid legal process; and

(vi) permanently terminate any account involved in trafficking or exploitation, and withhold or forfeit related payouts to the extent permitted by applicable law.

VIDEY may decline to notify an account holder of a report or of a request from authorities when notification could compromise an investigation or the safety of any person.

Protection of reporters and victims. VIDEY does not tolerate retaliation against any person who reports a concern in good faith. VIDEY will keep reports confidential to the extent permitted by law and will not treat a person who was coerced into producing content as a violator of these TOU on that basis.

Review of this policy. VIDEY periodically reviews this Section and its related procedures to reflect changes in applicable law and in the Card Brand Rules. This Section supplements, and does not limit, Sections 9, 10, 12, and 16.
